Understanding Your Landoption Agreements
Using Landoption involves agreeing to certain terms that define our relationship and how the platform works. Here's a quick look at the main agreements:
Two Agreements to Know:
Platform Terms of Use: The main rules for all platform users.
Program Enrollment Services Agreement (PESA): Extra terms specifically for commission-based "Offer Listings" by land use programs.
1. Landoption Platform Terms of Use
Purpose: This foundational agreement applies to all users of the Landoption platform, whether you are facilitating landowner enrollment ("Enrollment Partner" or "EP") or listing a program ("Program User") , or both. By setting clear expectations and rules, it allows you to securely use the platform and maximize your access to Landoption's network of programs and enrollment services.
Scope: It sets the ground rules for everyone using Landoption, explaining things like:
Creating your account, keeping it secure, and expected user conduct.
Key terms and the different ways to participate (e.g., user roles, Basic vs. Offer Listings).
Handling of intellectual property, your data (see Privacy Policy), and confidential information.
Rules to prevent bypassing the platform for deals initiated here (non-circumvention).
Important legal details like warranty disclaimers, liability limits, and how disputes are handled.
For Enrollment Partners: How the Landoption Pro subscription enables eligibility for potential (discretionary) Shared Commissions, the ability to opt-out if needed, and how Offer Listings display potential commission information.
For Program Users: The possibility (at Landoption's discretion) of using an alternative agreement instead of the standard PESA for Offer Listings by contacting Landoption support.
User Experience (Acceptance): You accept the Platform Terms of Use when you register for a Landoption account or first access/use the platform. It's typically accepted once via a checkbox or by continued use, and it governs your ongoing relationship with the Landoption platform, subject to updates as outlined in the terms.
2. Landoption Program Enrollment Services Agreement (PESA)
Purpose: This agreement applies specifically when a Program User activates the paid "Offer Listing" option for a program. By detailing the specific commission terms and commitments for that listing, it supplements the main Platform Terms of Use and enables Program Users to confidently utilize the enhanced features and maximize the potential of their Offer Listing.
Scope: This agreement details your commercial commitments for the specific Offer Listing. It mainly covers:
Your binding obligation to pay Platform Commissions to Landoption, with the exact rate, structure, payment terms, and definition of a "Verified Enrollment" specified in Annex A (based on your selections during setup).
Reference to the specific Landowner Agreement requirements (provided by you in Annex B) needed for a Verified Enrollment, along with the process for verifying enrollments (including review timelines).
Your responsibility to keep the Offer Listing status accurate (e.g., regarding enrollment capacity).
Landoption's right to audit records related to commissions.
How the platform displays details about the Offer Listing, including potential Shared Commission information for EPs (as per TOU Section 6.2(e)).
User Experience (Acceptance): A Program User accepts this agreement electronically (e.g., by clicking "Accept" or similar) specifically during the workflow on the platform when setting up or upgrading a specific program listing to the Offer Listing tier. A separate instance of this agreement, with its unique Annex A details, is accepted for each individual program designated as an Offer Listing.
How They Work Together:
Think of the Platform Terms of Use as the main rulebook for playing in the Landoption sandbox. Everyone agrees to these rules just to be there. Program Users choose whether to use the free Basic Listing or the commission-based Offer Listing for each program. The Program Enrollment Services Agreement (PESA) is like an extra set of rules you agree to only if you select the Offer Listing option for a specific program, primarily detailing the cost (Platform Commissions payable to Landoption) and associated features/choices for that tier.
Important Note for Enrollment Partners (EPs):
EPs do not sign the Program Enrollment Services Agreement (PESA). Your potential eligibility to receive discretionary Shared Commissions from Landoption is governed entirely by the main Platform Terms of Use, specifically your active Landoption Pro subscription status and your choice not to use the Commission Opt-Out feature (you can choose to opt-out if needed, e.g., for fiduciary reasons, while still using Landoption Pro tools). There is no separate commission agreement for EPs to sign regarding receiving potential Shared Commissions.
